Terms and Conditions
These terms govern use of the website and service discussions unless a signed agreement states otherwise.
Services
Darko AI provides AI consulting, workflow automation, lead automation systems, UGC and clipping operations, custom internal tools, and implementation support. Exact scope is defined in a written proposal, statement of work, invoice, or engagement agreement.
No guaranteed platform outcome
We can build systems, manage workflows, and improve operating leverage, but we do not guarantee specific platform reach, ad approval, social-media virality, revenue, ranking, or third-party decision outcomes.
Client responsibilities
Clients are responsible for lawful data access, accurate business information, approvals, credentials, brand permissions, and final review of public-facing outputs before publication.
AI limitations
AI output can be incomplete, incorrect, biased, or unsuitable without human review. Production systems should include testing, logs, approval gates, fallback paths, and human oversight.
Third-party platforms
n8n, CRM systems, Google, YouTube, Whop, Calendly, social platforms, email providers, enrichment tools, hosting providers, and other third-party services remain governed by their own terms, limits, outages, and policy decisions.
Payment and scope
Fees, payment timing, refunds, cancellation rights, and delivery timelines are controlled by the applicable written agreement or invoice. Work outside scope requires written approval.
Refunds and cancellation
Unless a written agreement states otherwise, custom consulting, implementation, audit, digital delivery, and completed workflow work is non-refundable once delivered or substantially performed. Retainer cancellation terms are controlled by the applicable agreement.
Confidentiality
Non-public workflow details, credentials, campaign materials, source data, and implementation documents should be treated as confidential unless the parties agree otherwise in writing.
Intellectual property
Client source materials remain the client's property. Darko AI retains pre-existing methods, templates, internal tools, and implementation know-how unless a written agreement says otherwise.
Lawful use
Clients may not use Darko AI services for unlawful scraping, spam, deceptive impersonation, unauthorized platform access, rights-infringing media use, or campaigns that violate applicable law or third-party platform terms.
Governing law
Unless a written agreement states otherwise, these terms are governed by the laws of Hong Kong, without regard to conflict-of-law rules.
Liability
To the maximum extent permitted by law, liability is limited to fees paid for the specific service giving rise to the claim. Darko AI is not liable for indirect, incidental, consequential, special, punitive, or lost-profit damages.
